VERANOIR is building a long-term holding and investment structure aimed at the gradual consolidation of equity stakes in selected, operating startups and technology projects. We focus on companies that combine technology, a scalable business model, and real international growth potential.

We don't look at companies through the lens of a single funding round. We support their growth over the long term — from building strategy, through organizing capital structure, to preparing for entry into new markets, in particular the United States.

Equity consolidation

VERANOIR will gradually consolidate equity stakes in selected, operating startups that meet our investment criteria. We are building a portfolio of sector-complementary companies that can draw on shared experience, networks, and strategic resources.

Growing portfolio company value

We are not a passive shareholder. We support companies in building their business model, operational priorities, and financing strategy, in preparing investor materials, and in building relationships with commercial and capital partners.

International expansion

We help companies prepare to grow beyond Poland. The US market is of particular importance to us — its scale, access to capital, and the opportunity to build global credibility for brands and technologies developed in Poland.

IN PROGRESS Phased equity consolidation

VERANOIR is developing its investment portfolio in phases. The total estimated value of the planned portfolio companies is approximately 10 million USD based on current valuations. In time, the company's structure is intended to consolidate equity stakes in selected, operating companies from the technology, AI, dual-use, and e-commerce sectors.

We are building this structure with long-term value growth in mind, transparent management of equity stakes, and readiness of portfolio companies for further rounds of financing and international expansion.

Status: the VERANOIR portfolio is being developed and consolidated in phases. Information about specific companies and their status will be published as further investments and transactions are completed.

We help Polish companies establish themselves in the United States and Canada — from competitive analysis and choosing an entry model, to building local presence and a network of business contacts.

Capital mergers

We structure and run capital merger processes between Polish companies and partners from the US and Canada, including transactions that open the way to a listing on OTC markets.

Raising capital in the US and Canada

We prepare companies for conversations with investors from the US and Canada — investor materials, valuation, transaction structure, and an introduction to the VERANOIR network of contacts.

We support sales teams in reaching their first clients in the North American market — identifying partners, preparing proposals, and supporting negotiations.

Asset tokenization

We advise on asset tokenization projects — from real estate and vehicle fleets to alternative assets — covering transaction structure, choice of jurisdiction, and preparation of the issuance in cooperation with licensed partners. Due to the applicable legal regime, we provide these services exclusively for structures and assets located outside Poland.
